These Terms and Conditions (“Terms”) govern the use of the HELPY marketplace (the “Platform”), operated by HELPY (“HELPY”, “we”, “us”, or “our”) in Canada. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. Nature of the Platform
HELPY is a marketing and introduction platform only. The Platform connects members of the general public (“Clients”) with independent service providers such as contractors, electricians, cleaners, and other tradespeople (“Contractors”).
HELPY:
- Does not provide renovation, construction, cleaning, or technical services;
- Does not act as an employer, agent, broker, or representative of any Contractor or Client;
- Does not collect fees, commissions, or percentages from renovation or service work;
- Is not a party to any agreement, contract, or transaction between a Client and a Contractor.
All agreements, communications, negotiations, and work arrangements occur directly between Clients and Contractors.
2. Eligibility
By using the Platform, you confirm that:
- You are at least the age of majority in your province or territory of residence;
- You have the legal capacity to enter into binding agreements;
- You will comply with all applicable federal, provincial, and municipal laws and regulations.
3. Contractor Listings and Information
Contractors may voluntarily submit information for publication on the Platform, including but not limited to:
- Business name and contact details;
- Description of services offered;
- Service areas;
- Licences, certifications, insurance details, or experience claims;
- Pricing or availability information.
By accepting these Terms, the Contractor:
- Confirms that all information provided is voluntary;
- Grants HELPY permission to publish, display, and promote this information on the Platform;
- Acknowledges that HELPY does not verify, validate, or guarantee the accuracy, completeness, or legality of any submitted information.
HELPY reserves the right (but has no obligation) to edit, refuse, suspend, or remove listings at its sole discretion.
4. No Verification or Endorsement
HELPY does not:
- Verify the identity, background, qualifications, licences, certifications, or insurance coverage of Contractors;
- Verify the legitimacy, accuracy, or safety of Client requests;
- Endorse, recommend, or guarantee any Contractor or Client.
It is the sole responsibility of Clients and Contractors to:
- Verify each other’s identity;
- Confirm licences, permits, bonding, and insurance coverage;
- Ensure compliance with building codes, safety standards, and legal requirements.
5. Subscription and Promotional Services
Contractors may choose to purchase optional subscription or promotional services to increase the visibility of their listings.
Subscription fees:
- Apply only to advertising or promotional placement;
- Do not constitute a commission or fee related to actual work performed;
- Do not create any guarantee of work, leads, or business results.
All subscription terms, pricing, and renewal conditions will be disclosed at the time of purchase.
6. No Responsibility for Projects or Outcomes
HELPY bears no responsibility or liability for:
- Project completion or non-completion;
- Quality, safety, or suitability of work performed;
- Delays, disputes, or cancellations;
- Payments, refunds, cost overruns, or financial losses;
- Legal disputes between Clients and Contractors;
- Building code violations, permit issues, or regulatory non-compliance;
- Property damage, personal injury, illness, or death occurring during or after a project.
All risks associated with engaging services through the Platform are assumed entirely by the Client and Contractor.
7. Limitation of Liability
To the maximum extent permitted by Canadian law:
- HELPY shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from the use of the Platform;
- This includes, without limitation, damages for loss of profits, data, business, goodwill, or personal injury.
If liability cannot be excluded under applicable law, HELPY’ total liability shall be limited to the amount (if any) paid by the user to HELPY in the twelve (12) months preceding the claim.
8. Indemnification
You agree to indemnify and hold harmless HELPY, its owners, directors, officers, employees, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of:
- Your use of the Platform;
- Your interactions or agreements with other users;
- Your violation of these Terms or applicable laws.
9. User Conduct
Users agree not to:
- Provide false, misleading, or deceptive information;
- Post unlawful, abusive, defamatory, or fraudulent content;
- Use the Platform for illegal or unsafe activities;
- Attempt to bypass, disrupt, or misuse Platform services.
HELPY may suspend or terminate access for violations of these Terms.
10. Privacy
Personal information is handled in accordance with applicable Canadian privacy laws and the HELPY Privacy Policy. Only information voluntarily provided by Contractors will be published on the Platform.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, unless otherwise required by Canadian law.
12. Changes to Terms
HELPY may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
